Question: Resignation of Board Memebers

My question is the following: My VP1 and VP4 resigned this week. Do we hold a special election to fill in those positions or do my other VPs shift into the missing positions? I'm curious to know how this works so I can prepare myself for anything. Thanks

How it works could be dictated by your bylaws; have you checked those? They may specify whether you need a special election, or people can be appointed/shifted. Without knowing the job descriptions of these different VPs, it's hard to make a recommendation, but assuming they are all pretty different, don't know that it is a good idea to just shift people up. But you might ask the other VPs if they would prefer the VP1/VP4 job and give them "right of first refusal." Then cast a net out there for whatever it is that you have open. I prefer having elections so it makes the process more transparent, but if they are not required by your by-laws, it may be more practical to just appoint people to their new positions. Either way, make sure you advertise the openings extensively to your parents.
