Sections of By-laws

Hi-

We are in the midst of re-writing by-laws and could use specific sections (so as not to reinvent the wheel).
1. How email should be used. Limitations? Allowing voting via email? Board planning and voting? etc.
2. Removal of a Board member/ Code of Conduct

In addition to any verbage you receive here, I highly recommend you get a copy of the latest Robert's Rules of Order or, minimally, the Robert's Rules in Brief. If you are helping to fashion the by-laws for your group, you need to understand the reasons why certain terms are used and the reasons why certain procedures are followed while others aren't. Using your question about email as an example, Robert's highly discourages the use of it -- there are numerous sound reasons why that would behoove you to understand.

none of my bylaws had any reference to electronics - we were all too old! But we had this about removal of a member:

Any officer or agent, such as a committee chair, may be removed by the Board whenever in its judgment the best interests of the PTO would be served thereby. The method of removal shall be by 2/3 vote at a regular or properly called meeting at which a quorum is present.

I should state that our bylaws said noting about due diligence prior to the removal vote and I believe now that it should have. I think there should be important steps taken prior to deciding to vote someone out. Sample bylaws on the File Exchange might have some better wording on this subject.
