Question: Nonprofit rules to follow above and beyond Bylaws?

How much do the board members need to know about 501(c)3 regulations? We were recently threatened with a lawsuit when we notified a board member of a vote to remove her. We followed the bylaws very clearly, acting in the best interest of the PTO and the children at our school all the time. Did we miss something?

Unfortunately, anyone can sue at any time, whether or not the suit is justified. If you followed your bylaws, you're probably in good shape. However, if you really think you might get sued, you should consult an attorney who's experienced with nonprofits. And if you don't have it, you should consider getting insurance for your PTO. Here's a link to insurance information. Best wishes -- hopefully this is all just bluster on the part of the ex-board member.
