From the PTO's point of view, I don't think there's a conflict. In fact, it could be beneficial to have a president who has a clear understanding of how the district functions and what the district priorities are.
From the district's point of view, I suppose there's the possibility that the board member would favor a single school over the health of the district as a whole. However, that potential conflict probably exists if a board member has a child in one of the district schools as well.
