Question: Executive Board Member Removal

Our executive board unanimously voted to remove a member who was not attending meetings and was not regularly responding to any communication from us. Now two executive board members wants to re vote and have her reinstated because this particular ex board member rededicated herself to them at a volleyball. I am against it, but need to know the correct protocol.

What do your bylaws say? It sounds like they allow the executive board to remove an officer who isn't performing the duties of her office. How do they say that vacancy is then filled? Can the executive board appoint someone, or must there be a new election? You have formally removed her from office, so now you must follow the procedures for filling the vacancy. It could mean that she assumes that office again, but it's not just a matter of reinstatement at this point.
