I am also looking into getting the information about going from a PTA to a PTO. I have lots of questions and would like to talk to someone - probably on the phone since emailing, although is a great tool for communication, getting pretty cumbersome with the constant follow up and loss of time. Your dissolution procedures are typically listed in your bylaws.

I've never seen any that have required unanimous consent. Have seen many that talk of 60% or 66.6%.

Another frequent misconception on these votes is that the super-majority needs to be of all your members. (Example: if you have 200 paid members, then you need 135 yes votes to dissolve). That is not true. More stanadard is that you need to announce intentions to hold vote to all, but then the actual vote just needs to be 2/3rds of those who have showed up to the vote meeting.

Does anyone know if it must be a unanimous vote amoung the PTA to change to a PTO, or can it be a majority vote? We have 1 individual who works for the state PTA and she's difficult to deal with.
The politics of state PTA are getting old and we'd like to change to a PTO.
