If a PTO is not being run according to the established by-laws, with an absentee president, no elected officers and the school principa \making all the decisions, how can it be dissolved?

It doesn't sound like there's anything to dissolve. From your description there's no functioning PTO -- just an involvement program being run by the principal. I'm curious to know why you want to dissolve the PTO rather than revitalize it. Are you thinking of starting a completely new organization?
