Interesting ... when we had to amend our articles of incorporation, state law said that, unless the articles prohibited it, proxy voting was allowed ...

**You are assuming that this group has Robert's Rules as it's Parliamentary authority.**

Please note that this IS the Robert's Rules forum board, so it would seem to be a pretty safe "assumption".

Yes, it is included in our by-laws that our members can vote by proxy if they cannot attend the meetings. We haven't needed it, but I'd like to have a proxy crafted when the occasion arises.

You are assuming that this group has Robert's Rules as it's Parliamentary authority. If it does, then proxy voting is disallowed. If not, and they have no parliamentary authority listed in their bylaws AND they are not incorporated, then whether proxy voting is allowed or not would be up to their membership.

Unless your by-laws already specifically allow for proxy voting, allowing it for this or any meeting will result in any vote taken in this manner to be null and void.

Your solution is to move the meeting date, using proper procedure to do so, to a date where quorum is possible.

We have several Board members that won't be able to make our final meeting of the year, which may impact our quorum. Does anyone have a sample proxy that we could use? Thanks in advance!
