We faced a similar situation two weeks ago when our VP left the school. We do not have bylaws (although we are currently writing them!) It was imperative for us to get a VP in right away and one who is already up to date on what is going on with us because I was going to have to not be very involved for a period of time because of health reasons. We had a parent who was interested and very involved already, and I called an emergency vote of the board to vote her in, with the understanding that it would be subject to a vote by the full membership at the next meeting--and opened up so that anyone else who was interested in the position could be considered. We don't have people beating down our doors to be a board member, so I think what I did was the best thing for the group under the circumstances.

Without bylaws you should do what you think is both best for the group and fair to everyone. Maybe hold off until the first meeting if you can or if you can't, vote to appoint this parent interim secretary until an election for the position can be held.

our PTO secretary that was voted in last year has unexpectantly resigned. School starts on Tuesday and we do not have one. A parent is interested in the position so we can replace our old one but my question is.... can the board hold an emergency meeting and basically hold a vote? (you have to be a paid member to vote) the was usually only 8 people at our PTO meetings and 4 of those were teachers.
