Can principal overrule the bylaws

There's a greater question here that lies to the crux of your organization ... and that of course is the relationship with the principal and administrators. There is obviously something remiss when there isn't respect for the organization as relayed in your post. Yes if the bylaws deliniate clearly what you are supposed to do then you have a "rule right" on your hands, but if you have issues with the Principal that are turning this into a power struggle then therein lies the problems. Until you address those to a point where everyone is back on the same team (called the kids team) then there will continue to be "pull me push you" problems.
That should be the focus of your energies in my mind..figuring out what is going on and working to resolution and health as a larger organization.

Some more details may be helpful. Based on the limited info, I'd say there are red flags all over the place. She wants your money and nobody around to keep an eye on her? Why?

My last group's bylaws required nominations to begin in April, candidates posted by May, elections in June and the term to begin July 1. If you wait until the start of the school year then you are already two to three months behind. It would be the holidays before you even blinked.

I say maintain the status quo and follow your bylaws to the letter.

To answer your specific question in the title, I'd say that no, the principal cannot override your bylaws. But, check your bylaws and see what they say about the principal's and BOE's role within your group. How you're structured (service branch, independent group, etc) and what your bylaws say should be your guide.

Check your bylaws if it states when you elections are to be held I would say she cant do anything. She can't tell you who should stay or go for that As for the money what the previous poster said you should have your own account and a treasurer in charge of it. Our principal can't even be present when we are voting for elections.

What is her reasoning for waiting till Sept? How would anything be ready for the new school year if you don't have any officers in place for the new year?

Principals should never have your money. Money should be in a separate account with the treasurer and president of your association as signers on the account. Pick a local bank that is near by and establish your own account. Elections should not be held in September as this is way to late. We work on our fundraisers over the summer so that once school starts we are ready to roll. The most effective way to comminunicate with parents is the first week of school because they know that there is material their child is bringing home for them to sign and return to the school. If you PTO is not ready to roll you are losing out on getting your paretns on board in the beginning of the school year.
