Is it possible to cut and paste the bylaws into a message? We might be able to find an easy way to help you if we could see the actual bylaws.

Question.... Since your by-laws don't seem to cover some items do they by any chance say something about "good standing" as a member. (Or something along those lines?)

I know our by-laws state that any member not in "good standing" (which is never defined in the by-laws) can have their membership revoked... for us no membership means they can't be on the board. And I think theft would certainly move the current one of the "good standing" concept.

Otherwise, I would suggest that someone make the motion to have her removed based on the circumstances. IF it isn't covered in the by-laws on how to do it then how can the motion be wrong, if it is a general motion. (If that makes any sense.)

The only other question... why aren't the police being involved... it is theft after all!

Looking at my Robert's Rules book it says the following that would most likely apply:

Except as the bylaws may provide otherwise, any regularly elected office of a permanent society can be desposed from office for cause - that is, misconduct or neglect of duty in office - as follows:

• If the bylaws provide that officers shall serve "for ____ years OR until their successors are elcted," the election of the officer in question can be rescinded adn a successor can thereafter be elected for teh reaminder of the term. The vote required for removing teh offender from office in such a case is the same as for any other motion to Rescind.
• If, however, the bylaws provide that officers shall serve only a fixed term, such as "for two years" (which is not recommended wording), of if they provide that officers shall serve "for ____ years AND until their successors are elected," an officer can be deposed from office only by following teh procedures for dealing with offenses by members outside a meeting; that is, an investigating committee must be appointed, it must prefer chards, and a formal trail must be held.

Okay, basically what is happening as of today is the PTO President has been found to have allegedly stolen in the neighborhood of $2000.00 from the PTO by presenting a fraudulant reciept. The principal of our school called the school district and was told that we need to call an emergency meeting for tomorrow morning at which time she will be given 48 hrs to return the funds. Assuming that she shows up to this meeting after she is given this information can a motion be presented to remove her from the board? Or can a motion be presented to ask for her resignation? There is nothing in our Bylaws that covers removing anyone from office or asking for a resignation however at the bottom of the bylaws in the last article it is stated that anything that is not covered in our bylaws "Robert's Rules of Order; Revised will apply"

Melissa, Do the bylaws discuss how to change the bylaws or do they mention actions that can be taken by a quorum of an executive committee or board? If the President is unreachable and the bylaws discuss actions that can be taken in his/her absence, you can modify the bylaws, according to the terms set forth in the bylaws and add in a part about removal of officers. Or, if the bylaws allow the executive committee or board to make decisions regarding the operation of the PTO by a quorum vote, you may just be able to address the issue at a special meeting of the executive committee or board. Just be sure to follow the bylaws with regard to notification of special meeting requirements. Good luck.

Hello, my name is Melissa and I belong to a PTO in Florida. We have a big problem! It has been an ongoing issue with our President being unreachable, unavailable, and uninterested. We have also had issues with money being spent without member approval, and the list goes on and on.
The problem is that our Bylaws are so "scimpy" that there is nothing in them regarding how to remove a PTO board member, or how to ammend the Bylaws. The rest of the PTO Board and the school Principal are all in agreement that the President needs to go, but we don't know how to do it.
Any suggestions would be GREATLY appreciated!
