Question: voting out a president with a small board

An already small PTO is down to 3... a President who many cannot see eye to eye with, an overwhelmed secretary, and a very active but sometimes too forgiving laid back director. some have shown interest in getting involved if the said president was not involved. The principal has threatened to shut it down due to lack of involvement, and organization. Can he do that? The secretary is likely to be able to assume the president position with the support of many but is afraid that there is a possibility that the director may side for the current president because of their close relationship. What can be done?
